Substance is not an address. It is whether the decisions were actually taken where you say they were
Three different audiences will test your substance, and they ask the same question in three different ways. A tax authority asks where the company is managed and controlled, because that determines residency, treaty access and whether profits belong somewhere else. A bank or EMI asks whether the operating story in the onboarding file matches the company that exists, because a structure nobody can explain is a structure they will exit. A regulator asks whether the licensed entity has the people, systems and local decision-making its authorisation was granted on. Failing any one of them is expensive; failing the first one is usually retrospective.
What survives all three is not a package of documents. It is an arrangement where the directors genuinely decide, the decisions are recorded when they are taken rather than reconstructed afterwards, the premises exist and are used, the people are real and paid locally, and the whole thing is proportionate to the profit it supports. That costs more than clients expect and much less than losing tax residency on a structure that has been running for four years. We tell clients the real number at the start rather than at the point the arrangement fails.
SK Consult builds and operates this infrastructure, primarily in Cyprus, and coordinates equivalent arrangements across the EU, the UAE and selected offshore jurisdictions. We are based in Nicosia, so the Cyprus element is run by us rather than subcontracted — the office, the directors, the board calendar, the accounting and the evidence pack that has to withstand a reviewer who is looking for problems.
What the engagement covers
Substance work is assembled from components. Very few clients need all nine, and the assessment stage exists precisely to establish which ones actually carry the weight in your case.
Substance assessment and gap analysis
A written review of the current arrangement against the tests that will actually be applied to it: management and control, permanent establishment exposure, treaty entitlement, licence conditions and banking expectations. The output separates what is genuinely deficient from what merely looks thin on paper, because the two are not the same and only one of them is worth spending on.
Registered office and physical premises
Office arrangements that are used rather than rented — from a desk in a shared professional environment through to dedicated premises with a lease, utilities in the company name and an occupancy history. We are explicit about which tier stands up to which kind of scrutiny, and we do not present a mailbox as an office.
Resident directors and board composition
Directors who are resident in the jurisdiction, who understand the business, who ask questions before signing and who can answer a bank or a tax inspector without preparation. Sourcing, appointment, onboarding into the business, and the honest conversation about what a genuinely engaged director costs relative to a signature service.
Board governance and decision trail
A board calendar that reflects the real rhythm of the business, agendas and papers circulated before meetings, meetings actually held in the jurisdiction, minutes prepared contemporaneously, and a delegation-of-authority framework that shows which decisions sit at board level and which do not. This is the single most examined element in a residency challenge.
Local staffing and payroll
Employment structuring for locally engaged staff, payroll registration, social insurance, employment contracts, and the analysis of which functions genuinely need to sit in the jurisdiction versus which can remain in the group. Overstaffing is a cost with no compliance benefit; understaffing is a finding.
Banking operations and signatory arrangements
Accounts operated from the jurisdiction, signatory and authorisation matrices that place real payment authority with the local board, and the alignment between who is legally entitled to bind the company and who actually moves money. A local board that cannot authorise a payment is a governance finding waiting to be made.
Accounting, audit and local reporting
Books maintained locally and currently rather than reconstructed at year end, statutory audit coordination, corporate income tax returns, VAT registration and filings, and the reporting calendar that keeps the entity in good standing. Late filings are the cheapest possible way to attract attention.
Tax residency certificates and treaty documentation
Annual tax residency certificates, the supporting file behind them, beneficial ownership documentation for treaty and directive relief, and the substance narrative that a counterparty jurisdiction will ask for before applying a reduced withholding rate.
Ongoing operation and the evidence pack
The arrangement maintained rather than installed — board cycle run, minutes filed, registers updated, filings made, and a standing evidence pack that can be handed to a bank, an auditor, an acquirer or a tax authority without three weeks of assembly work first.
Who this is for
Holding, IP and financing structures
Entities whose value depends on treaty access, participation exemption or directive relief, where a residency or beneficial-ownership challenge does not adjust the tax position marginally — it removes the benefit the structure was built for.
Licensed and payment businesses
Regulated entities, EMIs, PSPs and crypto-asset service providers where local presence, local management and local staffing are conditions of the authorisation and are tested at supervision rather than only at application.
Groups under active pressure
Businesses facing a tax residency enquiry, a bank review questioning the operating footprint, a licence condition they are not meeting, or a buyer whose due diligence has flagged the structure as a risk to the transaction.
How the work runs
-
Substance diagnostic
1–2 weeksReview of the corporate records, board history, premises, staffing, banking arrangements and filing position across the entities in scope, tested against the specific challenge each entity is exposed to. Output: a written findings list ranked by exposure, with the items that are genuinely urgent separated from the items that are merely untidy.
-
Design and cost model
1 weekThe proposed arrangement set out in detail — premises tier, board composition, meeting cadence, staffing, banking authority — with a full annual cost model. Agreed with you before anything is implemented, because substance that is abandoned after a year because it proved unaffordable is worse than substance that was never built.
-
Implementation
4–10 weeksPremises secured, directors appointed and inducted, governance framework adopted by the board, employment and payroll registrations completed, banking authorities amended, accounting function established. Sequenced so that the elements a bank or supervisor will ask about first are in place first.
-
Evidence pack
2 weeksThe file that demonstrates the arrangement: lease and utilities, director appointment and residency evidence, board calendar and minutes, employment records, signatory matrix, filing history and the substance narrative written in a form a third-party reviewer can follow without explanation.
-
Ongoing operation
continuingBoard cycle administered, minutes prepared, registers and filings maintained, tax residency certificates renewed annually, and the evidence pack kept current so that it is available on request rather than assembled under time pressure.
Timelines are indicative. Premises and director appointments usually run in parallel; banking authority changes depend entirely on the institution and are the most common cause of delay. Where a residency enquiry or supervisory deadline is already live, the sequence is reordered around that deadline.
What actually tests substance now
The picture as at July 2026. The most important shift of the last two years is that the threatened EU-wide substance rulebook did not arrive — and substance pressure increased anyway, through national law, banking practice and licence supervision.
What actually decides the outcome
Where the decisions are genuinely taken
Not where the minutes say the meeting was held, but where the strategic and financial decisions of the company are actually made. If the local board ratifies decisions taken elsewhere, the arrangement is a formality and a competent reviewer will identify it from the correspondence rather than from the minute book.
Whether the director can answer questions
A director who can describe the business, its customers, its risks and the reasoning behind the last three significant decisions is evidence. A director who has to ask the group for the answer is the opposite of evidence, and interviews are increasingly part of both bank reviews and tax enquiries.
Proportionality to profit
Substance is assessed relative to the income it supports. An entity booking eight-figure profits with one part-time director and a shared desk invites the question. The same arrangement on a small holding company with modest passive income may be entirely defensible. There is no universal minimum, which is why templates fail.
Contemporaneous records
Minutes written on the day carry weight; minutes written eighteen months later during an enquiry carry almost none and can make the position materially worse. The discipline of recording decisions when they are taken is the cheapest substance investment available and the one most often skipped.
Continuity over time
Substance built for a licence application and quietly wound down afterwards is worse than no substance, because the arrangement documents the intent while the operating record documents the abandonment. Reviewers look at the trend, not the snapshot.
Consistency across every file
The tax residency application, the bank onboarding pack, the licence file, the audited accounts and the group transfer pricing documentation all describe the same entity. When they describe it differently — different staff numbers, different functions, different decision-makers — the inconsistency is the finding, regardless of which version is true.
Where substance arrangements go wrong
- A resident director who signs but does not decide. This is the central failure and the one that most cheaply structured arrangements are built around. It is also the one that interviews, email trails and board papers expose most reliably.
- Board meetings recorded as held in the jurisdiction while the directors attended from three other countries. Video attendance is not fatal in itself, but a pattern where the local participant is the only one physically present, or where nobody is, defeats the purpose of the record.
- A virtual office or mail-forwarding address presented as premises. Shared professional space can be perfectly adequate for a small holding entity; describing it in terms that imply dedicated offices creates a misstatement in the file that is far more damaging than the modest arrangement it was concealing.
- Banking authority retained entirely outside the jurisdiction. If no local director can authorise a payment, the local board demonstrably does not control the company's resources — a point banks now examine directly through the signatory matrix.
- Substance sized from a checklist rather than from the numbers. A generic "one director, one office, one employee" specification is either wasteful for a dormant holding company or grossly insufficient for an operating entity with real margin.
- Treating the withdrawal of ATAD 3 as the end of the issue. The EU-wide test was abandoned; the national tests that decide actual cases were not, and banking scrutiny has tightened over the same period.
- Minutes and registers reconstructed during an enquiry. Beyond the evidential weakness, backdating creates exposure that is categorically worse than the substance deficiency it was intended to cure. We will not do it.
- Ignoring the group picture. An entity can hold impeccable local substance and still be attacked through permanent establishment in the country where the people actually sit, or through controlled foreign company rules at the shareholder level. Substance is a group question presented one entity at a time.
What we typically need from you
Providing this at the outset materially shortens the diagnostic and produces a findings list precise enough to act on.
- Certificate of incorporation, constitutional documents and current corporate register extracts for each entity in scope
- Group structure chart showing ownership percentages, tax residencies and the location of the ultimate beneficial owners
- Board minutes and written resolutions for the last two to three years, in the form they were actually kept
- Details of current directors: residency, other directorships, the scope of their involvement and how they are remunerated
- Premises documentation — lease or licence agreement, utility arrangements, and whether the space is shared or dedicated
- Employment and payroll records for locally engaged staff, including contracts and social insurance registrations
- Bank and EMI account details with the current signatory and authorisation matrix for each account
- Audited financial statements and tax returns for the last two years, plus the current filing status of each entity
- Any correspondence from a tax authority, supervisor, bank or auditor that has already questioned the arrangement
What drives cost and timeline
Substance is a recurring annual cost, not a one-off project fee, and the difference between a defensible arrangement and a nominal one is largely a difference in that recurring number. These are the variables that account for most of it.
- The level of substance the position actually requires — driven by profit, activity type and whether treaty benefits or a licence depend on it
- Premises tier: shared professional space, dedicated desk space, or leased offices with an independent occupancy record
- Director profile: how many resident directors, their seniority, and whether they are genuinely engaged in the business or serving in a limited capacity
- Headcount: whether local employment is required, at what level, and the associated payroll, social insurance and employment law obligations
- Number of entities in the group requiring parallel arrangements, and whether they can share infrastructure
- Whether the work is preventive or remedial — an arrangement built before a challenge costs materially less than one rebuilt during an enquiry, with the historic position also to be addressed
- Coordination across jurisdictions, where local counsel, local corporate service providers and local filings have to be instructed and supervised
Frequently asked questions
ATAD 3 was withdrawn. Do we still need substance?
Yes, and the withdrawal changed less than the headlines suggested. ATAD 3 would have created a single EU-wide minimum test with automatic reporting consequences. Its abandonment leaves in place every national management-and-control test, the beneficial ownership requirements in the parent-subsidiary and interest-and-royalties directives, general anti-abuse rules, permanent establishment rules and controlled foreign company regimes — which is where residency cases have always actually been decided. Over the same period bank and EMI scrutiny of operating footprint has tightened significantly. The practical exposure is unchanged or higher.
What is the minimum substance for a Cyprus company?
There is no statutory minimum, and any adviser quoting one is describing their own product rather than the law. The test is management and control, applied to your facts: what the company does, what it earns, what benefits it claims and who challenges it. A passive holding company with modest dividend income and no treaty dependency needs materially less than an IP entity claiming reduced withholding on royalties from three countries. The diagnostic exists to establish where on that range you sit.
Can we use a nominee director?
It depends entirely on what the role is. A director who is properly appointed, understands the business, receives board papers, asks questions and takes real decisions is a resident director regardless of how the arrangement is labelled. A director who signs documents on instruction without engagement is a nominee in substance, and that is precisely the arrangement tax authorities and banks are equipped to detect. We provide the first and decline to present the second as the first.
How does the corporate income tax increase to 15% affect this?
It compresses the margin that justified the arrangement. A structure carrying EUR 40,000 to 60,000 a year of substance cost to access a 12.5% rate may still work at 15%, or may not, depending on the profit involved. The honest recommendation in a number of cases has been consolidation — fewer entities, each properly resourced — rather than maintaining a wider structure at a thinner level of substance across all of it. We model this before recommending it.
We are already under a tax residency enquiry. Is it too late?
It is not too late to improve the forward position, and it is essential not to make the historic position worse. What we can do is establish genuine substance from a clean date, document it properly, and prepare an accurate account of the historic arrangement. What we will not do is create documents purporting to record meetings and decisions that did not happen, which converts a tax exposure into something considerably more serious.
Do banks actually check any of this?
Consistently, and increasingly through methods that are difficult to prepare for after the fact: verifying the address, calling the director, comparing declared headcount against public sources, checking whether the company has an operational footprint at all, and re-running these checks during periodic review rather than only at onboarding. Bank exit for a thin operating story is now more common in our experience than a tax residency challenge, and it happens far faster.
Can you provide substance outside Cyprus?
We coordinate it. Cyprus is where we are based and where we operate the arrangement ourselves — premises, directors, governance, accounting and the evidence file. In other jurisdictions we design the arrangement, select and instruct local providers, set the standards they have to meet and supervise delivery, but the local elements are provided by the local firm. We are explicit about which model applies to which entity, because the difference matters when something goes wrong.
